DESTINATION ANN ARBOR OFFICIAL SKILL CONTEST RULES 

These rules apply to all contests offered by Destination Ann Arbor (the “Promoter” as defined below) exclusively through its social media accounts. Please read these Official Rules carefully before entering this contest (the “Contest”). By entering the Contest, you (“you” or “Participant”) agree that you have read and are bound by the terms and conditions set forth below and the decisions of Destination Ann Arbor, and that such decisions which are final and binding in all respects. If you do not agree to the terms and conditions set forth below, you may not enter the Contest. Winning a prize is contingent upon your compliance with these Official Rules and fulfilling all other requirements set forth herein.  

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED. 

Specific Contest Rules – Fall Colors Photo Contest 

  1. Contest Period 

The Contest begins on September 16th, 2024 at 12:00pm EST, and ends on October 5th, 2024 at 12:00pm EST. Entries must be received during the contest period to be eligible. A clock chosen by Promoter will serve as the official time-keeping device for the Contest. 

  1. Eligibility 

The Contest is open to individuals who are legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. Employees of Promoter, its affiliates, subsidiaries, advertising and promotion agencies, and the immediate family members (spouse, parent, sibling, child, and their respective spouses) and/or those living in the same household are not eligible to participate. The Contest is subject to federal, state, and local laws and regulations. 

  1. How to Ente

The method of entry will be available online at https://upload.crowdriff.com/DAAFallContest during the Contest Period. Follow the directions provided.  

Limit five (5) photo submissions (each an “Entry”) per theme, for a total of fifteen (15) Entries per person, per email address. Entries received from any person or email address in excess of the stated limitation will be voided. All Entries become the property of the Promoter and will not be acknowledged or returned.  

You retain your rights to your photo Entry; however, by entering the Contest, you grant the Promoter (and those authorized by the Promoter) a royalty-free, world-wide, perpetual, non-exclusive license to publicly display, distribute, reproduce and create derivative works of the Entries, in whole or in part, in any media now existing or later developed, for any purpose, including, but not limited to, advertising and promotion. Any photograph reproduced will include a photographer credit as feasible. The Promoter will not be required to pay any additional consideration or seek any additional approval in connection with such uses. 

  1. Entry Requirements 

All photos must be your sole, original work, and must have been taken on or after January 1, 2023 in Washtenaw County, Michigan.  

There will be three (3) general themes to help Participants narrow their Entries. Each Entry under each theme will be judged equally, and submitting to one theme or to multiple themes will not increase your chance of winning the prize. The themes are: (1) Orchards, Donuts, and Cider; (2) Pumpkin Patches and Corn Mazes; and (3) Fall Colors, Leaves, and Trees. 

Photos should be of a high resolution and appear “as shot,” with only minor editing before submission. Photos altered noticeably by software, or combined with other photos to make a single image, are not eligible. Photos taken by drone cameras are eligible only if the drone is registered with the FAA, was flown in accordance with the FAA’s Special Rule for Model Aircraft and federal and state laws, and did not violate U.S. airspace restrictions. 

Entries must not contain material that is inappropriate, offensive, or illegal. Photos with watermarks, signatures, dates, copyright notices or any other text on the image are not eligible. Photos generated using artificial intelligence (AI) are not eligible. Photos that violate or infringe upon another person's rights, including but not limited to copyright, are not eligible.  

For a photo in which a person is recognizable, you must be prepared to provide a model release from the subject or, in the case of a minor, the subject’s parent or guardian, to the Promoter upon request. Similarly, Participants whose photos depict another’s work (such as sculptures, statues, paintings, and other copyrightable works) must be prepared to provide a release from the rights holder to the Promoter upon request.  

  1. Winner Selection 

There will be a panel of qualified judges as chosen by Promoter. The judges are members of the Promoter’s marketing staff. The decisions of the judges shall be final and binding.  

There will be one round of judging to occur after the Contest Period, during which time the judges will review all eligible Entries. Submissions will be awarded up to a total of fifteen (15) points, with five (5) points for adherence to theme, five (5) points for creativity, and five (5) points for destination showcase. Tiebreakers will be determined first, by which submission had the higher number of points in the destination showcase category, and second by revaluating the Entries until the tie is broken. 

  1. Prize & Prize Conditions 

One (1) potential winner will receive a fall color drive with Golden Limousine International on either Saturday, October 13, 2024 or Saturday, October  20, 2024, with one stop only at the Dexter Cider Mill, and a $50 e-gift card for the Dexter Cider Mill (the “Prize”). The approximate retail value (ARV) of the Prize is $760. The Promoter shall solely determine the route taken for the fall color drive and reserves the right to alter the locations and number of stops. 

  1. Winner Notification 

Each potential winner will be notified by private message or email on October 7th, 2024.  

General Contest Rules 

  1. General Prize Conditions: The percentage of potential winners depends upon the number of Participants. Prizes cannot be exchanged, redeemed for cash, transferred, or combined with any other offer and are subject to stated terms and conditions. Additional compensation will not be provided if actual value of any Prize received is less than the stated ARV. Prize winners are solely responsible for all applicable: (1) federal, state, and local taxes; and (2) any expenses not specifically mentioned in the Prize package, including but not limited to any out-of-pocket expenses associated with Prize acceptance and use such as license fees, travel, required installation or requested product upgrades/options, as applicable. No substitution, transfer or cash equivalent for a Prize (or prize component) will be offered, except that Promoter, at its sole discretion, may substitute a Prize (or prize component) of equal or greater value for any reason. Any depictions of a Prize or prize elements are for illustrative purposes only. All Prize details are at the sole discretion and decision of the Promoter. In the event that a component of any Prize is not available for any reason beyond Promoter’s control, the remaining elements of the Prize shall constitute full satisfaction of Promoter’s prize obligation to potential winner and no additional compensation will be awarded, except at Promoter’s sole discretion. Potential winners must provide identification in a manner deemed acceptable by the Promoter to claim their Prize.  

  1. Notification of Potential Winner: Each potential winner will be notified by private message or email at the time specified in the Specific Contest Rules. Promoter is not responsible for digital communications that are undeliverable as a result of any filtering of any kind, insufficient space in Participant's account, or any other failure beyond its reasonable control. Promoter is not responsible for updating Participant’s email address, messaging account, or other contact information after an Entry is submitted. Any potential winner will forfeit their Prize if they: (1) fail to respond in the time period specified by the Promoter to any of Promoter’s requests for information or signatures with respect to the specific Contest or Prize; (2) cannot be reached at the information provided by such individual; (3) rejects the Prize (or it is returned undeliverable through no fault of Promoter); or (4) is disqualified from the Contest for any reason, including noncompliance with these Official Rules. In the event of such a forfeiture, an alternate potential winner may be selected at Promoter’s sole discretion from among all remaining eligible Entries. 

  1. Provision of Materials and Information/Intellectual Property: By entering the Contest, you represent and warrant as follows: (1) that you fully own or have properly licensed whatever materials or information you submit hereunder in connection with the Contest and can make such submissions without violating any: applicable law, agreement with any third-party, and/or third-party right of any kind (including without limitation any intellectual property, data protection, privacy, or publicity right); and (2) that any and all materials or information you provide shall be true and correct in all respects. Furthermore, without limitation on anything set forth herein to the contrary, Promoter shall have the irrevocable, transferable, and fully sublicensable right and license (but not the obligation) to exploit any and all such materials, including submission materials, or information in any manner it so elects to promote the Contest, its business, brand, products and/or services, throughout the world in perpetuity, and in any and all media, now or hereafter known. 

  1. General Release: BY ENTERING THE CONTEST, YOU RELEASE PROMOTER, ITS RESPECTIVE PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AND AGENCIES (COLLECTIVELY, THE "RELEASED PARTIES") FROM ANY LIABILITY WHATSOEVER, AND WAIVE ANY AND ALL CAUSES OF ACTION, RELATED TO ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE CONTEST, YOUR PARTICIPATION IN THE CONTEST, OR DELIVERY, MIS-DELIVERY, ACCEPTANCE, POSSESSION, USE OR MISUSE OF OR INABILITY TO USE ANY PRIZE (INCLUDING, WITHOUT LIMITATION, CLAIMS, COSTS, INJURIES, LOSSES AND DAMAGES RELATED TO PERSONAL INJURIES, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION OR PORTRAYAL IN A FALSE LIGHT, WHETHER INTENTIONAL OR UNINTENTIONAL), HARDWARE, SOFTWARE OR TELEPHONE FAILURES OF ANY KIND, COST OR UNAVAILABLE NETWORK CONNECTIONS, FRAUD, INCOMPLETE, GARBLED OR DELAYED COMPUTER TRANSMISSIONS, WHETHER CAUSED BY PROMOTER, USERS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE CONTEST OR BY ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE PROCESSING OF SUBMISSIONS WHICH MAY DAMAGE A USER’S SYSTEM OR LIMIT AN PARTICIPANT’S ABILITY TO PARTICIPATE IN THE CONTEST, WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY OR OTHER THEORY. 

  1. Released Parties: Released Parties are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, or device), in excess of the stated limit, or for Entries that are illegible, late, destroyed, lost, misplaced, stolen, misdirected, tampered with, incomplete, deleted, damaged, incomplete, or otherwise not in compliance with these Official Rules, and all such Entries will be disqualified. By registering for and entering the Contest, you agree and acknowledge to be bound by these Official Rules, as well as the decisions of Promoter which are final and binding in all respects with regard to the Contest; and to waive any rights to claim ambiguity with these Official Rules. Each Participant further agrees to indemnify and hold harmless the Released Parties from any and all liability resulting or arising from Contest and to release all rights to bring any claim, action or proceeding against Released Parties, and hereby acknowledge that said Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Prize, including express warranties provided exclusively by a prize supplier that may be sent along with a Prize. 

  1. Collection of Information: Promoter will be collecting, storing, and exploiting personal data about Participants to administer Contest and exercise its rights hereunder, including without limitation, those relating to marketing and publicity. By entering into any of Promoter's Contest, Participants agree to Promoter's collection and use of their personal information and consent to receive information sent by the Promoter. Promoter will not disclose any Participant's personal information to any non-affiliated third party, and Participants may opt out of emails from the Promoter.   1. Limitations of Liability; Disclaimer of Warranties: IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR PARTICIPATION IN THE CONTEST OR ACCESS TO OR USE OF THE PRIZE. IN NO EVENT SHALL THE RELEASED PARTIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE PRIZE VALUE. WITHOUT LIMITING THE FOREGOING, THE CONTEST AND ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. Notwithstanding the foregoing, in the event that the preceding release is determined by a court of competent jurisdiction to be invalid or void for any reason, each Participant agrees (except where prohibited) that, by entering the Contest, (a) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or the prize awarded, shall be resolved individually without resort to any form of class action; (b) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney’s fees; and (c) under no circumstances will any Participant be permitted to obtain any award for, and each Participant hereby waives all rights to claim, any punitive, incidental or consequential damages, and any and all rights to have damages multiplied or otherwise increased, and any other damages other than damages for actual out-of-pocket expenses, if any. ANY DISPUTE ARISING OUT OF OR RELATED TO THESE OFFICIAL RULES OR THE SWEPESTAKES MAY ONLY BE ADJUDICATED THROUGH BINDING ARBITRATION CONDUCTED THROUGH, AND ACCORDING TO THE FEDERAL ARBITRATION ACT AND THE THEN-CURRENT RULES OF, THE AMERICAN ARBITRATION ASSOCIATION. ANY ARBITRATION HEARING MUST BE HELD IN, OR IN THE NEAREST AVAILABLE VENUE TO, ANN ARBOR, MICHIGAN. A JUDGMENT CONSISTENT WITH THE RESULTS OF THE ARBITRATION MAY BE ENETERED BY ANY COURT OF COMPETENT JURISDICTION. 

  1. Force Majeure: Without limiting any other provision in these Official Rules, the Released Parties are not responsible for or liable to any Participant or winner, or any person claiming through such Participant or winner, for failure to supply the Prize or any part thereof due to any Contest activity or being affected, as determined by Promoter in its sole discretion, by reason of, without limitation, (a) any acts of God; (b) any law, rule, action, regulation, order or request by any local, state or federal governmental or quasi-governmental entity or authority (whether or not the law, rule, action, regulation, order or request proves to be invalid); or (c) any other cause beyond the reasonable control of the Released Parties, whether or not specifically mentioned above. 

  1. Indemnification: By entering the Contest, Participant agrees to indemnify, defend and hold harmless Promoter, its respective subsidiaries, affiliates, directors, officers, employees, attorneys, agents and representatives, from any and all third party liability for any injuries, loss, claim, action, demand or damage of any kind arising from or in connection with Participant’s Entry. 

  1. Publicity: Except where prohibited by law, entry into the Contest constitutes the Participant’s permission and consent for Promoter use the Participant’s name, email address, likeness and/or Prize information, without limitation, for promotional purposes without further permission or compensation. As a condition of being awarded any Prize, except where prohibited by law, potential winners and, if applicable, their guests, may be required to execute a consent to the use of their name, address, likeness and/or Prize information, without limitation, for promotional purposes without further permission or compensation. 

  1. Affidavit & Release: As a condition of being awarded any Prize, potential winners and, if applicable, their guests, may be required to execute and deliver to Promoter a signed affidavit of eligibility and acceptance of these Official Rules and release of liability. 

  1. Social Media: The Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, LinkedIn, X (formerly known as Twitter), Instagram or any entity other than Promoter. By entering, Participants confirm they are at least 18 years of age, release Facebook, LinkedIn, X, Instagram, and any other entity of any responsibility arising from or in connection with the Contest, and agree to Facebook, LinkedIn, X, Instagram, and any other social media entity’s terms of use. 

  1. Winners List: For a copy of the winners list, write to “Destination Ann Arbor Contest” at 315 West Huron Street, Suite 340, Ann Arbor, MI 48103 after given selection dates requesting the same. 

  1. Governing Law: The Contest and these Official Rules will be governed, construed and interpreted under the laws of the State of Michigan. Promoter reserves the right to change or to interpret these Official Rules at any time, in its sole discretion, and to suspend or cancel the Contest or any Participant's participation in the Contest should viruses, bugs, unauthorized human intervention or other causes beyond Promoter's control affect the administration, security or proper play of the Contest or Promoter otherwise becomes incapable of running the Contest as planned, as determined in its sole discretion. Promoter reserves the right to disqualify persons whose eligibility is in question or who Promoter, in its sole discretion, otherwise deems ineligible to enter the Contest.
